2.2 User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms. You are responsible for safeguarding the password that you use to access the Website and for any activities or actions under your password.

2.3 Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ARPL, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

3. Products and Services

3.1 Product Information

We strive to provide accurate product descriptions, specifications, and pricing information on our Website. However, we do not warrant that product descriptions, specifications, pricing, or other content on the Website is accurate, complete, reliable, current, or error-free. If a product offered by ARPL is not as described, your sole remedy is to return it in unused condition for a refund or replacement, subject to our return policy.

3.2 Pricing and Payment

All prices are subject to change without notice. We reserve the right to modify or discontinue products or services at any time without liability. Prices displayed on the Website do not include applicable taxes, shipping costs, or customs duties unless otherwise specified. Payment terms will be agreed upon between ARPL and the customer prior to order confirmation.

3.3 Order Acceptance

Your receipt of an order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. ARPL reserves the right to accept or decline your order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our credit or fraud prevention department.

3.4 Custom Products

For custom-manufactured rubber products, specifications must be agreed upon in writing before production begins. Once production has commenced, cancellations may not be possible, and deposits are non-refundable. Custom products are manufactured to customer specifications and may not be returnable.

4. Shipping and Delivery

Shipping and delivery terms will be agreed upon between ARPL and the customer on a case-by-case basis. Delivery dates are estimates only and ARPL shall not be liable for any delays in delivery. Title and risk of loss pass to the customer upon delivery to the carrier. The customer is responsible for filing any claims for loss or damage with the carrier.

International shipments may be subject to import duties, taxes, and customs clearance fees, which are the responsibility of the customer. ARPL is not responsible for delays caused by customs clearance procedures.

5. Returns and Refunds

5.1 Return Policy

Standard catalog products may be returned within 30 days of receipt if they are unused, in original packaging, and in resalable condition. Custom-manufactured products are generally not returnable unless there is a manufacturing defect or error on our part.

5.2 Return Process

To initiate a return, you must contact us at info@arplglobal.com to obtain a Return Authorization Number. Returns shipped without authorization may not be accepted. The customer is responsible for return shipping costs unless the return is due to our error or a defective product.

5.3 Refunds

Once we receive and inspect the returned product, we will process your refund to the original method of payment within 14 business days. Refunds do not include original shipping charges unless the return is due to our error.

5.4 Defective Products

If you receive a defective product, please notify us within 7 days of receipt. We will arrange for return shipping at our expense and provide a replacement or full refund, including shipping costs.

6. Warranties and Disclaimers

6.1 Product Warranties

ARPL warrants that its products will be free from defects in materials and workmanship under normal use for a period of 12 months from the date of shipment. This warranty does not cover damage caused by misuse, improper installation, modification, or use in applications for which the product was not designed.

6.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED ABOVE, ARPL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The Website and services are provided "as is" and "as available" without any warranty of any kind.

6.3 Technical Information

Technical data, specifications, and recommendations provided by ARPL are based on tests believed to be reliable, but ARPL makes no warranty regarding their accuracy or completeness. Customers are responsible for determining the suitability of products for their intended applications.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARPL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Website or services
  • Any conduct or content of any third party on the Website
  • Any content obtained from the Website
  • Unauthorized access, use, or alteration of your transmissions or content
  • Defects or failures in products, whether arising under contract, tort (including negligence), strict liability, or otherwise

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ARPL IN THE SIX MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless ARPL and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or products, including but not limited to your User Content, any use of the Website's content, services, and products other than as expressly authorized in these Terms.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

9.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Website shall be brought exclusively in the courts located in Gurugram, Haryana, India, and you consent to the personal jurisdiction of such courts.

9.3 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within 30 days, either party may pursue legal remedies.

10. Modifications to Terms

ARPL reserves the right to modify or replace these Terms at any time at its sole discretion. We will provide notice of material changes by posting the updated Terms on the Website with a new "Last Updated" date. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the modified Terms, you must stop using the Website and our services.

11. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Website will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Force Majeure

ARPL shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13. Export Compliance

Products and technical information provided by ARPL may be subject to export control laws and regulations of India and other countries. You agree to comply with all applicable export and import laws and regulations and will not export, re-export, or transfer products or technical information in violation of such laws.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by ARPL on the Website, constitute the entire agreement between you and ARPL regarding your use of the Website and our products and services, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and ARPL.

16. Waiver

No waiver by ARPL of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ARPL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
